These Terms of Service ("Terms") govern your access to and use of 3 Tree Terminal(the "Terminal," "Platform," or "Service") and related websites, APIs, and portals operated by THREETREETECH LLC("3 Tree Tech," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. About the Service
3 Tree Terminal is 3 Tree Tech's secure operating environment for internal operations and authorized external partners. Depending on your role, the Service may include one or more of the following portals:
- Employee Portal: internal workflows such as travel, commissions, finance, HubSpot tools, Virtual HQ, email and marketing operations, sales tools, file access, notifications, and administrative functions.
- Influencer Portal: referral submission and tracking, commission visibility, and partner marketing resources for authorized referral partners.
- Partner Portal: channel partner lead submission, deal tracking, and related resources (where enabled for your organization).
Features available to you depend on your assigned role, permissions, and whether your organization has enabled specific modules or integrations. We may add, change, or retire features at any time.
2. Eligibility and Accounts
The Service is intended only for individuals who have been invited or authorized by 3 Tree Tech or an approved partner program administrator. You must provide accurate account information and keep it current. You are responsible for all activity that occurs under your credentials, including actions taken after you fail to sign out on a shared device.
Employee users may be required to authenticate through Microsoft Entra ID (single sign-on) with multi-factor authentication as configured by 3 Tree Tech. Influencer, partner, and other external users may authenticate using credentials or secure access links issued to them. You must not share passwords, tokens, or invite links with unauthorized persons.
3. Acceptable Use
You agree to use the Service only for legitimate business purposes related to your relationship with 3 Tree Tech. You must not:
- Access data, modules, or accounts you are not authorized to view;
- Probe, scan, or test the vulnerability of the Service or circumvent security controls;
- Introduce malware, interfere with Service operation, or attempt unauthorized access;
- Scrape, harvest, or bulk-export data except through features expressly provided to you;
- Use the Service to violate law, infringe intellectual property, harass others, or send unlawful spam;
- Misrepresent your identity or affiliation with 3 Tree Tech;
- Reverse engineer or decompile the Service except where prohibited by applicable law.
We may monitor usage for security, compliance, and operational purposes as described in our Privacy Statement. We may suspend or terminate access immediately if we reasonably believe you have violated these Terms or pose a security risk.
4. Confidentiality and Customer Data
The Service may contain confidential business information belonging to 3 Tree Tech, its employees, clients, partners, and vendors, including financial records, commission data, CRM records, communications, and strategic materials. You must handle all such information in accordance with applicable law, your employment or partner agreement, and 3 Tree Tech policies. Do not disclose Terminal content outside your authorized scope of work.
If you are an influencer or channel partner, you may only use lead, referral, and deal information submitted through or visible in the Service for purposes permitted by your agreement with 3 Tree Tech.
5. Integrations and Third-Party Services
The Terminal may connect to third-party platforms (for example, Microsoft 365 / Entra ID, HubSpot, accounting or event systems, email delivery providers, video collaboration tools, and AI providers). Your use of those integrations is also subject to the third party's terms and privacy policies. 3 Tree Tech is not responsible for third-party services, their availability, or their handling of data outside our control.
Where you connect a Microsoft or other external account, you authorize us to access and process data from that account only as needed to provide the integrated feature (such as calendar, Teams, or CRM sync), consistent with the permissions you grant.
6. AI-Assisted Features
Certain modules may use artificial intelligence to summarize information, suggest content, classify data, or assist with sales and operational workflows. AI outputs are provided for assistance only and may be incomplete or inaccurate. You are responsible for reviewing AI-generated content before relying on it for business, legal, or customer-facing decisions. Do not submit information you are not permitted to process through the Service.
7. Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by 3 Tree Tech or its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your authorized role. No other rights are granted. Feedback you provide may be used by us without obligation to you.
8. Service Availability
We strive to keep the Terminal available and secure but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, integration outages, and events beyond our reasonable control may affect availability. We may perform scheduled maintenance with or without advance notice.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT DATA WILL BE ACCURATE OR COMPLETE, OR THAT DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3 TREE TECH AND ITS OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID US FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY).
Some jurisdictions do not allow certain limitations; in those cases, the above limits apply only to the extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless 3 Tree Tech and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, violation of these Terms, or violation of any law or third-party rights.
12. Term and Termination
These Terms remain in effect while you have access to the Service. We may suspend or terminate your access at any time for any reason, including end of employment, end of a partner relationship, inactivity, or security concerns. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (including confidentiality, disclaimers, limitations of liability, and indemnification) will survive.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when they were last revised. Material changes may be communicated through the Service, by email, or by other reasonable means. Continued use after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction in those courts.
15. General
These Terms, together with applicable partner or employment agreements and our Privacy Statement, constitute the entire agreement regarding your use of the Service. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
